Terms Of Service

These Terms of Service ("Terms") govern the provision of services under the FOXCLOUD brand by the legal entity identified in the applicable invoice, order confirmation, or client account (the "Provider").

These Terms apply to all services provided by the Provider, including but not limited to virtual servers, dedicated servers, colocation, cloud infrastructure, storage, networking, and related services (the "Services").

By ordering or using the Services, the Customer agrees to these Terms and to the Acceptable Use Policy (AUP), which forms an integral part of these Terms.

1. Provision of Services

The Provider delivers infrastructure services as described in the applicable invoice, service description, or Client Portal.

Services are operated and maintained using commercially reasonable technical and organizational measures consistent with industry practice.

The Provider may improve, modify, or update infrastructure components as part of ongoing technical development and maintenance, provided that such changes do not materially reduce the core functionality of active Services.

2. Service Term and Renewal

Services are available on monthly, quarterly, or yearly billing cycles as selected by the Customer.

Services renew automatically for the same billing term unless cancelled prior to renewal through the Client Portal.

An invoice will be issued at least fourteen (14) days before the renewal date.

Payment of the renewal invoice confirms continuation of the Service for the new term.

Failure to pay may result in suspension or expiration of the Service.

3. Payments

Services are provided on a prepaid basis unless otherwise agreed.

Accepted payment methods may include bank cards, electronic payment providers, and bank transfers in supported currencies.

Payment processing fees charged by payment providers remain the responsibility of the Customer unless otherwise specified.

4. Refund Policy

Refunds may be available for:

  • Virtual servers

  • Dedicated servers

Refund requests must be submitted:

  • Within thirty (30) days for annual plans

  • Within forty-eight (48) hours for monthly plans

Refunds apply to initial purchases only.

Refunds are not available for:

  • Domain registrations

  • Administrative or consulting services

  • Third-party products or licenses

Refunds may be refused in cases of abuse, fraud, violation of these Terms, or violation of the AUP.

5. Payment Disputes and Chargebacks

If a payment dispute or chargeback is initiated, the Provider may suspend the affected Services pending resolution.

The Provider may respond to or contest the dispute with the payment provider.

If payment is not successfully recovered, the Provider may terminate the Services.

6. Customer Responsibilities

The Customer is responsible for:

  • All activity conducted through the Services;

  • Compliance with applicable laws;

  • Securing authentication credentials;

  • Maintaining independent backups of all data.

Where the Provider offers snapshot or backup functionality, such features are provided as a convenience. The Customer remains solely responsible for maintaining independent backup copies of critical data.

7. Acceptable Use

Use of the Services is governed by the Acceptable Use Policy (AUP).

Violation of the AUP constitutes a material breach of these Terms and may result in suspension or termination of Services in accordance with both the AUP and these Terms.

8. Suspension and Termination

The Provider may suspend or terminate Services in cases of:

  • Non-payment;

  • Violation of the AUP;

  • Violation of these Terms;

  • Legal or regulatory requirements;

  • Operational, security, reputational, or risk-related concerns.

The Customer may discontinue Services through the Client Portal prior to renewal or by disabling automatic renewal.

Upon termination or expiration:

  • Access to Services ceases;

  • Data may be permanently removed from active systems without further obligation of retention.

The Provider has no obligation to retain Customer data following termination.

9. Pricing Changes

The Provider may modify pricing with at least thirty (30) days’ prior notice.

If the Customer does not accept revised pricing, the Customer may discontinue Services prior to the renewal date.

Continued use after renewal constitutes acceptance of the updated pricing.

10. Intellectual Property

All intellectual property rights in the Provider’s infrastructure, systems, software, configurations, documentation, and service architecture remain the exclusive property of the Provider or its licensors.

The Customer retains ownership of all data and content uploaded or stored using the Services.

These Terms do not transfer ownership rights in either party’s intellectual property.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

The Provider shall not be liable for indirect, incidental, consequential, special, or business interruption damages, including loss of profits, revenue, or data.

The Provider’s total cumulative liability for any claim relating to the Services shall not exceed the amount paid by the Customer for the affected Service during the one (1) month immediately preceding the event giving rise to the claim.

12. Indemnification

The Customer agrees to indemnify and hold harmless the Provider against claims, damages, liabilities, and expenses arising from:

  • The Customer’s use of the Services;

  • Violation of applicable law;

  • Violation of third-party rights;

  • Breach of these Terms or the AUP.

13. Know Your Customer (KYC)

The Provider may request identification or verification information where reasonably required to comply with applicable law or to mitigate fraud, abuse, or regulatory risk.

Failure to provide requested verification may result in suspension or termination.

14. Force Majeure

The Provider shall not be liable for delays or failures resulting from circumstances beyond its reasonable control, including natural disasters, governmental actions, war, civil unrest, power or connectivity outages, third-party service failures, or significant cybersecurity incidents.

Obligations may be suspended for the duration of such events.

15. Privacy

Processing of personal data is governed by the Privacy Policy, published separately.

16. Modifications

The Provider may update these Terms from time to time.

Continued use of the Services after publication constitutes acceptance of the revised Terms.

17. Governing Law

Any dispute arising out of or in connection with these Terms shall be subject to the jurisdiction of the courts of England and Wales.
